保密协议

    鉴于协议双方已经或即将建立翻译服务的采购供应关系，为了保护双方的合法利益，__________________________（甲方）和上海 优优翻译有限公司（乙方）达成如下协议：

 1．任何一方不得向第三方透露在合作期间获得和知晓的对方公司(包括其分支机构、控股公司和合资公司)的商业秘密及属于第三方但对方负有保密义务的信息。商业秘密包括技术秘密和经营秘密，其中技术秘密包括但不限于工作进度、技术方案、工程设计、电路设计、制造方法、配方、工艺流程、技术指标、计算机软件、数据库、。研究开发记录、技术报告、测试报告、检测报告、实验数据、试验结果、图纸、样品、样机、模型、模具、操作手册、技术文档、相关的函电等。经营秘密包括但不限于双方洽谈的情况、签署的任何文件，包括合同、协议、备忘录、订单等文件中所包含的一切信息、客户名单、行销计划、采购资料、定价政策、财务资料、进货渠道、法律事务信息、人力资源信息等。

2．未经对方书面同意，任何一方不得在双方合作目的之外使用或向第三方透露对方的任何商业秘密，不管这些商业秘密是口头的或是书面的，还是以磁盘、胶片或电子件等形式存在的。

3．当一方提出收回包含对方商业秘密的有关资料时，另一方应将有关资料及其复制件交还给对方，或应对方的要求将这些资料及其复制件销毁。

4．在对方公司内活动时，应听从接待人员的安排和引导。未经对方允许不得进入对方实验室、办公室等工作环境，不与对方开发人员进行私下交流。

5．如果乙方违反上述条款，甲方有权根据违反的程度以及造成的损害采取以下措施：

(1) 终止双方的合作；

(2) 要求赔偿损失。

(3) 在采取上述措施之前，甲方将给予乙方合理的在先通知。

6．本协议下双方的保密义务在一方向另一方透露了商业秘密后的5年内保持有效，而且在此期间其效力不受到合作关系终止及其他任何期限的期满或终结的影响。

7．与本协议有关的任何争议，双方应通过友好协商解决。如协商不成，任何一方可将此争议提交杭州仲裁委员会进行仲裁。仲裁裁决是终局的，对双方均有约束力。本协议适用中华人民共和国法律。

8．本协议一式两份，双方各执一份，具有相同的法律效力。

本协议自双方授权代表签字盖章之日起生效。

Confidentiality Agreement

 
Whereas both parties of the agreement have established or will establish procurement and supply relationship on translation services, in consideration of protecting legitimate interests of both parties herein, the agreement is entered into by and between                   (hereinafter referred to as "Party A") and Shanghai Yoyotrans Translation Co., Ltd. (hereinafter referred to as "Party B") as follows: 

1. Either party shall not disclose to a third party trade secrets acquired and known from the other party (including its affiliates, holding companies and joint ventures) during the co-operation and other information that belongs to a third party but the other party is under an obligation to keep confidential. Trade secrets include technical and business secrets, of which technical secrets include but not limit to, job schedules, technical plans, engineering designs, circuit designs, manufacturing methods, formulas, processes, technical indicators, computer software, databases, research and development records, technical reports, inspection reports, test reports, test data, test results, drawings, samples, prototypes, models, molds, operation manuals, technical documentation, and other related correspondence. Business secrets include but not limit to, the negotiations between both parties, any documents signed thereby, including all information contained in contracts, agreements, memoranda, orders, customer lists, marketing plans, purchasing information, pricing policies, financial information, purchase channels, legal affairs information, human resources and other information.

2. Without a written approval from the other party, either party shall not use any trade secrets of the other party for purposes other than the cooperation between both parties or disclose them to a third party, regardless of their trade secrets are written or oral, or made in disk, film or electronic forms etc.

3. When a party requests to withdraw relevant data containing trade secrets of such party, the other party shall return to such party such information and its copies or destroy such information and copies at the request of such party.

4. One party shall follow the arrangements and guidance of reception staff during its activities in the other party company. Without an approval from the other party, such party shall not access to laboratories, offices and other working environment of the other party, and communicate in private with developers from the other party.

5. If Party B commits a breach of foregoing terms, Party A is entitled to take the following measures upon the extent of violation and the damage incurred therefrom:
(1) To terminate the cooperation between both parties;
(2) To claim for damages.
(3) Prior to taking the above measures, Party A will give Party B a reasonable prior notice.

6. Confidentiality obligations of both parties under this agreement remain effective within 5 years after one party discloses to the other party its trade secrets, during which, its effectiveness is not subject to the termination of cooperation between both parties and the expiration or termination of any other terms.

7. Any dispute relating to this agreement shall be resolved by both parties through friendly consultation. If the consultation fails to reach a settlement, any party may submit disputes to Hangzhou Arbitration Commission for arbitration. Arbitral awards are final and binding on both parties. This agreement applies the laws of the People's Republic of China.

8. This agreement is made in duplicate with the same legal effect either of which shall be held by both parties respectively.

This agreement shall enter into force from the date when it is signed and sealed by authorized representatives of both parties.
